I. DESCRIPCION

This curse is of a practical nature, based on concrete case studies, and seeks to achieve student understanding debate, negotiation and drafting, using some
existing samples of international comercial contracts. This method will allow the student to strengthen their critical thinking skills. With these tools, then we will use a practical analysis of the mpost significant legal institutions in orde to better utilize them in the future practice of faw.


II. OBJETIVES

1. At the end of course students will have gained he knowledge necesary to develop their own skills for a practical use of legal English as well as the necesary training that will their transitio into the professional world.

2. Students will receive materials that willo allow them to develop many subjects in the international contracting area.


III. CONTENTS

1. Introduction.

1.1 Most critical aspects of the Common Law and Roman law system.

1.2 Basic negotiation principles; game theory, prisoner's dilemma.

1.3 Roles of the lawyer in a commercial negotiation when drafting an international contract.


2. General concepts.

2.1 The use of time expresions and other significant written expressions.

2.2 Technical vocabulary, most important legal expressions, drafting of Legal English documents.


3. Main contracts.

3.1 International commecial contracts principles.

3.2 International purchase agreement. Incoterms.

3.3 Investmen (Merge & acquisitions, Investments legal protections); Shareholders agreements.

3.4 Distribution (international agency, Rep Offices, Distribution; Dealership; Licence agreement, rogalty, know-how, tecnology transference; Franchising).

3.5 Regularly used commercial documents (invoice, letter of credit, non disclosure, power of attorney).

3.6 Imternational labor contract; International services.


4. Determinatio of applicable law to international contracts (taxes, intellectual property, labor law, antitrust).


5. Determination of the tribunal. Arbitration in international matters. International legal procedures.


6. Financing systems; International collaterals; Insurance.


7. Workshops for both ora and written English.


IV. METHODOLOGY

- The course methodology will be based on conversation and debate based on the proffesor's lecture, discussing contract formats and other chosen texts.


V. EVALUATION

- The grading system will be based on working groups, debates of legal text and a written final exam.
